This course offers Chartered Accountants who are members of the Portuguese Institute of Statutory Auditors (OROC) the opportunity to gain qualifications for non-executive roles on Boards of Directors, to join Board Committees, or to leverage these governance dynamics in their client relationships.

These dynamics and challenges require adjustments in qualifications related to the supervision of the 2nd and 3rd Lines of Defence, making participants Fit and Proper for leadership challenges, particularly those involving the oversight of executives, the governance framework, strategic definition, and the risk appetite framework.

To explore the concept of governance, its various dimensions, diversity, relationship with regulators, and impact on capital markets in the decision-making process, as well as best practices to prepare non-executive directors, committee members, and audit board members to use these frameworks to prevent crises and reputational risk, thereby protecting stakeholders.

The program addresses key topics that ensure boards are effective, efficient, transparent, ethical, and free from conflicts of interest, supporting the sustainability of companies, the economy, and employment.

It aims to establish frameworks for constructively challenging executive performance, understanding and questioning risk management, compliance, and internal control issues, and grasping the power dynamics with capital markets.

Participants will also debate the complexity of board dynamics between executives, non-executives, and supervisory bodies, considering the leverage of committees overseeing control functions— Risk, Compliance, and Audit and the articulation between the audit board and the statutory auditors.

An additional module will address the challenges of Family Businesses and Business Families, and the role Chartered Accountants can play in advising shareholders and families.
